Terms of Service

1. Acceptance of Terms

By accessing or using G8KEPR ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and G8KEPR.

These Terms apply to all users, including free trial users, paid subscribers, and Enterprise customers. Use of the Service by an organization means the organization accepts these Terms on behalf of all its users.

2. Description of Service

G8KEPR provides an AI security platform that includes:

• API security, threat detection, and rate limiting
• MCP (Model Context Protocol) security and sandboxing
• AI gateway with multi-LLM routing
• Verification engine for compliance and audit logging
• JWT authentication, RBAC, and session management
• Analytics, monitoring, and alerting dashboards
• Developer SDK, CLI, and REST API access

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and legally capable of entering a binding contract to create an account or use the Service.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your credentials and API keys
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at security@g8kepr.com

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it updated throughout your use of the Service.

4. Acceptable Use Policy

You agree NOT to use the Service to:

Violation of this policy may result in immediate account suspension or termination without refund. We reserve the right to investigate and cooperate with law enforcement for illegal activity.

5. Service Level Agreement (SLA)

We commit to the following uptime targets for paid plans:

Uptime calculation: Measured on a rolling 30-day calendar month, excluding scheduled maintenance windows. "Downtime" means the Service is completely unavailable (not degraded performance).

SLA exclusions. The SLA does not apply to unavailability caused by: (a) scheduled maintenance announced at least 48 hours in advance via status.g8kepr.com; (b) force majeure events (natural disasters, war, government actions, internet backbone failures); (c) misuse or policy violations by you; (d) issues caused by your own infrastructure, code, or third-party integrations outside our control; or (e) beta or experimental features.

6. Payment Terms

6.1 Billing

• Monthly plans are billed in advance on the same date each calendar month
• Annual plans are billed annually in advance with a discount applied
• All prices are in USD and exclude applicable sales taxes or VAT
• You authorize us to charge your payment method on file on each billing cycle via Stripe
• Failed payments will be retried for 7 days. Service may be suspended after a failed retry period

6.2 Free Trial

We offer a 14-day free trial with no credit card required. The trial automatically expires at the end of the trial period unless you provide payment details and subscribe to a paid plan.

6.3 Refunds

No refunds for partial months. Monthly subscription fees are non-refundable for the current billing period once charged. If you cancel a monthly plan, you retain access through the end of your paid period.

Annual plan proration. If you cancel an annual plan, you are entitled to a prorated refund for unused complete months remaining. Prorated refunds are calculated from the cancellation date and issued within 14 business days.

30-day money-back guarantee. First-time subscribers to any paid plan may request a full refund within 30 days of their first payment. This guarantee applies once per organization.

6.4 Price Changes

We may change prices with at least 30 days written notice. Price changes do not affect current annual subscriptions until their renewal date.

7. Usage Limits and Quotas

Each plan includes specific monthly request quotas:

• Starter: 1M API requests/month
• Growth: 10M API requests/month
• Enterprise: Custom or unlimited requests

When you reach 80% and 95% of your quota, we will send email notifications. Exceeding your quota results in rate limiting (not hard blocking). You may upgrade your plan at any time to increase your quota with immediate effect.

8. Data and Intellectual Property

8.1 Your Data

You retain all rights, title, and interest in your data, API logs, and customer content. We claim no ownership over any content you transmit through the Service. You grant G8KEPR a limited, non-exclusive license to process your data solely as necessary to provide the Service.

8.2 Our IP

G8KEPR, the G8KEPR logo, and all related trademarks, service marks, and trade names are our proprietary property. The Service's underlying software, algorithms, documentation, and design are protected by copyright, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our IP without written consent.

8.3 Feedback

If you provide feedback, suggestions, or feature requests about the Service, you grant us a perpetual, royalty-free license to use that feedback for any purpose, including incorporating it into the Service, without obligation to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption
• Our total aggregate liability arising from or related to these Terms or your use of the Service is limited to the total fees you paid to G8KEPR in the three (3) months immediately preceding the event giving rise to the claim
• We do not guarantee the Service will be error-free, uninterrupted, or free of security vulnerabilities
• You are solely responsible for maintaining independent backups of your data

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless G8KEPR and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any third-party rights, including intellectual property rights or privacy rights; (c) your violation of any applicable law or regulation; or (d) any content or data you transmit through the Service.

11. Account Termination

11.1 By You

You may cancel your subscription at any time from your account dashboard. For monthly plans, cancellation takes effect at the end of your current billing period and you retain access until then. For annual plans, see Section 6.3 for proration terms.

To close your account entirely, please email support@g8kepr.com with at least 30 days advance notice. Your data will be available for export for 30 days after account closure.

11.2 By Us

We may suspend or terminate your account immediately and without notice if you:

• Violate the Acceptable Use Policy (Section 4)
• Engage in fraudulent, abusive, or illegal activity
• Use the Service to harm other users or third parties
• Fail to pay fees after the retry period has elapsed

For other material violations of these Terms, we will provide at least 30 days written notice before termination, unless the violation requires immediate action to protect the Service or other users.

11.3 Effect of Termination

Upon account termination, your access to the Service will cease immediately. You may export your data within 30 days of termination after which it will be permanently deleted per our data retention policy. Sections relating to IP rights, indemnification, limitation of liability, and governing law survive termination.

12. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days advance notice of material changes via email and dashboard notification. Non-material changes (such as typographical fixes or clarifications) may be made without notice. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, United States, excluding its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Dispute resolution. Both parties agree to attempt to resolve disputes informally before initiating formal proceedings. Unresolved disputes will be submitted to binding arbitration under the American Arbitration Association Commercial Arbitration Rules, conducted in Nashville, Tennessee, USA.

Exception. Either party may seek preliminary injunctive or equitable relief in any court of competent jurisdiction to prevent intellectual property infringement or unauthorized use of confidential information.

14. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy and any Order Forms, constitute the entire agreement between you and G8KEPR regarding the Service
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force
• No waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it later
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
• Force majeure: Neither party is liable for failures caused by events beyond reasonable control
